Terms of Service

These Terms of Service ("Terms") constitute a legal agreement between you ("the Merchant", "you") and Martín Francisco Pacheco Ochoa, a sole proprietor operating under the trade name Payorana ("the Controller", "we", "Payorana"), with address at Diamante 228, Fraccionamiento Joyas de Mocambo, C.P. 94298, Boca del Río, Veracruz, Mexico. By installing, accessing, or using Payorana, you accept these Terms in their entirety.

1. Description of the service

Payorana is a Shopify application that helps merchants recover pending payments generated by cash and bank transfer payment methods in Latin America (including, but not limited to, OXXO, SPEI, Boleto Bancario, PSE, Efecty, and MercadoPago Cash).

The Service includes:

  • Automatic detection of orders with pending payments in your Shopify store.
  • Sending automated reminders to end customers via WhatsApp and email.
  • Dashboard with payment recovery metrics.
  • Selection of predefined templates for reminder messages (templates are not editable by the merchant).
  • Automatic stopping of reminders when payment is completed.

2. Requirements for use

To use Payorana, you must:

  • Have an active Shopify store with a current plan.
  • Operate in at least one Latin American country where Payorana is supported (Mexico, Brazil, Colombia, Argentina, Chile, Peru, among others).
  • Have the legal capacity to accept these Terms on behalf of your business.
  • Accept that WhatsApp reminders are sent from Payorana's official WhatsApp Business account on behalf of your store.
  • Comply with all applicable laws and regulations in your jurisdiction, including data protection and electronic communications laws.

3. Plans and pricing

3.1 Available plans

Payorana offers the following plans:

  • Free: $0 USD/month. Up to 30 orders per month. Channel: Email. Basic dashboard.
  • Starter: $9 USD/month. Up to 200 orders per month. Channels: WhatsApp + Email. Selectable templates and ticket support.
  • Pro: $19 USD/month. Up to 1,000 orders per month. WhatsApp + Email. Advanced timing rules and priority support.
  • Business: $29 USD/month. Unlimited orders. Dedicated Account Manager and priority support.

3.2 Billing

All payments are processed through the Shopify Billing API. Charges appear on your Shopify invoice. Billing is monthly and charged at the beginning of each period. Prices are expressed in United States dollars (USD) and do not include applicable taxes.

3.3 Additional costs

Payorana does not charge additional costs per message sent. The cost of sending WhatsApp messages is included in the price of the contracted plan. There are no hidden fees or per-message charges.

3.4 Plan changes

You may change your plan at any time from the Payorana dashboard. Upgrades to a higher plan take effect immediately and are charged on a prorated basis. Downgrades to a lower plan take effect at the beginning of the next billing period.

4. Consent for WhatsApp messages

By using Payorana to send WhatsApp messages to your customers, you represent and warrant that:

  • You have obtained prior, explicit, and informed consent from your end customers to receive messages through WhatsApp, in accordance with Meta's policies and applicable legislation.
  • You provide your customers with a clear mechanism to revoke their consent (opt-out) at any time.
  • Messages sent are exclusively transactional (related to pending payments) and not for advertising or marketing purposes.
  • You comply with WhatsApp Business Policies and Meta's Messaging Policies.

End customers can opt out of receiving messages by replying "DETENER" or "STOP", contacting the merchant directly, or sending an email to martin@heylellabs.com.

5. Usage limits

5.1 Order limits

Each plan has a monthly limit on processed orders. A "processed order" is defined as an order with a pending payment for which Payorana sends at least one reminder. Orders that are paid before a reminder is sent do not count toward the limit.

5.2 Overage

If you reach the order limit of your plan, Payorana will stop sending reminders for new orders until the beginning of the next billing period. Reminders for orders already in progress will continue to be sent. We will notify you by email when you reach 80% and 100% of your monthly limit.

5.3 Acceptable use

You agree not to use Payorana to:

  • Send spam, unsolicited advertising, or content unrelated to pending payments.
  • Harass or bother end customers with excessive or inappropriate messages.
  • Attempt to circumvent the usage limits of your contracted plan.
  • Reverse engineer, decompile, or attempt to access the application's source code.
  • Use the service for purposes other than pending payment recovery.
  • Share or resell access to your Payorana account to unauthorized third parties.

6. Data handling

6.1 Data responsibility

You are the controller of your customers' personal data. Payorana acts as a processor, processing the information exclusively according to your instructions and for service delivery.

6.2 End customer consent

It is your responsibility to ensure that your customers have consented to receive electronic communications related to their orders, in accordance with applicable laws in your jurisdiction. Payorana does not verify end customer consent.

6.3 Privacy

The handling of personal data is governed by our Privacy Policy, which forms an integral part of these Terms and covers the applicable data protection legislation in Mexico, Brazil, Colombia, Argentina, Chile, and Peru.

7. Message templates

Payorana offers predefined templates for payment reminder messages. The merchant may select from the available templates but cannot edit or modify the content of the selected templates. Templates are designed to comply with WhatsApp Business policies and best practices for transactional communication.

8. Intellectual property

Payorana, its source code, design, logo, name, and all associated documentation are the exclusive property of Martín Francisco Pacheco Ochoa and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, and revocable license to use the Application in accordance with these Terms and your contracted plan.

9. Service availability

9.1 Uptime

We strive to maintain a service availability of 99.9%. However, we do not guarantee uninterrupted availability. The service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control.

9.2 Third-party dependencies

Payorana depends on third-party services such as Shopify, WhatsApp Cloud API (Meta), and SendGrid. We are not responsible for interruptions, errors, or changes in these services that affect Payorana's operation.

10. Limitation of liability

10.1 Disclaimer of warranties

Payorana is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

10.2 Limitation of damages

In no event shall the Controller be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, resulting from:

  • The use or inability to use the Service.
  • Any conduct or content of a third party in connection with the Service.
  • Unauthorized access, use, or alteration of your data.
  • Messages not delivered, delayed, or sent incorrectly.
  • Unrecovered payments or lost orders.

10.3 Maximum liability

The total liability of the Controller for any claim shall be limited to the total amount paid by you to Payorana during the twelve (12) months preceding the event, or $100 USD, whichever is greater.

10.4 No guarantee of results

Payorana does not guarantee specific payment recovery rates, additional revenue, or business results. The metrics presented on our website are averages based on historical data and may vary.

11. Indemnification

You agree to indemnify, defend, and hold harmless the Controller from any claims, damages, obligations, losses, liabilities, costs, or debts, and expenses (including attorney's fees) arising from:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of third-party rights, including privacy or electronic communications rights.
  • Sending messages without adequate consent from end customers.

12. Termination

12.1 By the merchant

You may cancel your account at any time by uninstalling Payorana from your Shopify admin panel. Cancellation is effective immediately. No refunds are provided for partial usage periods.

12.2 By the Controller

We reserve the right to suspend or terminate your access to the Service, with or without prior notice, if:

  • You violate these Terms or the Acceptable Use Policy.
  • You use the Service in a fraudulent or illegal manner.
  • Your account has been inactive for more than 12 months.
  • It is necessary to comply with legal obligations.

12.3 Effects of termination

Upon termination of your account:

  • All pending reminders will stop being sent.
  • You will lose access to the dashboard and application data.
  • Your data will be deleted within 30 days, in accordance with our Privacy Notice.
  • Outstanding payment obligations remain in effect.

13. Modifications to terms

We reserve the right to modify these Terms at any time. Significant changes will be notified at least 30 days in advance via the email address associated with your Shopify account. Continued use of the Service after the effective date constitutes your acceptance of the modified Terms.

14. General provisions

14.1 Governing law

These Terms shall be governed by and construed in accordance with the laws of the United Mexican States. However, users' data protection rights shall be governed by the applicable legislation in their country of residence (LFPDPPP in Mexico, LGPD in Brazil, Law 1581 in Colombia, Law 25.326 in Argentina, Law 19.628 in Chile, Law 29733 in Peru).

14.2 Jurisdiction

For the interpretation and enforcement of these Terms, the parties submit to the jurisdiction of the competent courts of Boca del Río, Veracruz, Mexico, without prejudice to the rights that local consumer protection or personal data legislation grants to users in their country of residence.

14.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14.4 Waiver

The failure of the Controller to exercise any right or provision of these Terms shall not constitute a waiver of such right.

14.5 Entire agreement

These Terms, together with the Comprehensive Privacy Notice, constitute the entire agreement between you and the Controller regarding the use of Payorana.

14.6 Assignment

You may not assign or transfer these Terms without our prior written consent. The Controller may assign these Terms without restriction.
